Reposit Terms of Service
Version 1.1 · Effective August 30, 2026
Repost Productions LLC
1. What Reposit Is (and Isn't)
Reposit is a footage access and archiving convenience service (the "Services") provided by Repost Productions LLC (hereafter "Repost Productions"). It is not a guaranteed backup service, disaster-recovery service, system of record, or substitute for your own retention.
You are responsible for maintaining your own independent copies of any footage you consider critical.
2. Your Responsibilities
To comply with these Terms of Service (the "Terms"), you agree to maintain accurate account and payment information, keep your credentials secure, and meet your organization's own records-retention, public-records, or compliance obligations through your own systems. Reposit is not offered as a records-compliance tool. If you are accepting these terms on behalf of an organization, you confirm that you have the authority to bind the organization.
3. Storage, Retrieval, and Tiers
Archive-tier footage is held in deep cold storage; allow up to 72 hours after a retrieval or activation request. Active-tier footage is available for immediate download. Retrieval and activation fees are displayed before you confirm and are charged at the time of the request. We will give 30 days' notice before any rate change.
Fair use of downloads. The Active tier is intended for ordinary production use. In each billing month, we expect your organization's downloads of original master files not to exceed three times (3×) the total volume of footage you store with us across all tiers. For example, an organization storing 2 TB would expect to download up to 6 TB in that month.
Streaming previews are not counted. Browsing and streaming the low-resolution preview copies in your library does not count toward this expectation. Only downloads of original master files are counted.
If your usage materially exceeds it. We will not charge you for exceeding this expectation, and we will not restrict your downloads without contacting you first. If your downloads materially and repeatedly exceed it, we will contact the administrators on your account to discuss it, and may propose additional download capacity at the rate then displayed, or a change to your plan, on 30 days' email notice. Additional capacity is charged only where you agree in advance to purchase it.
Changes. We may change the multiplier, or the price of additional capacity, on 30 days' email notice, on the same basis as a rate change under this Section.
Downloads that are never limited. This Section does not apply to, and will not prevent, any of the following: (a) footage in a project subject to a legal hold under Section 6; (b) a download made in response to a public-records, freedom-of-information, litigation, or regulatory request, where you notify us of the request; (c) your export of footage during the grace period described in Section 6, following cancellation or billing lapse.
4. Billing
Storage is charged per 250 GB block per tier, rounded up to the next whole block. Billing is annual by default, charged once a year to the payment method on file. You may choose monthly billing instead, at the same rates, from your account page or by asking us.
Your account has a single renewal date. Any included or prepaid period is stated on your project quote. When a project's included period ends, its blocks are added to your account and charged pro rata to your next renewal date, and in full from that renewal onward.
We will email you before your first charge, and at least 30 days before each annual renewal, telling you what you will be charged and when.
Additional download capacity purchased under Section 3 is charged as a one-time amount at the time of purchase. Purchased capacity does not expire.
Failed payments are retried; continued failure after notice may result in lapse and, following the grace period in Section 6, deletion.
5. Data Loss — Disclaimer of Warranty
We take commercially reasonable measures on reputable third-party cloud infrastructure. However: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. We do not warrant that stored files will be free from loss, corruption, unavailability, or delay, and we are not responsible for third-party infrastructure failures, internet transmission, or force majeure.
The foregoing disclaimer is subject to the service level commitment in Section 12, which is the only availability commitment we make.
6. Cancellation, Lapse, and Deletion
You may cancel anytime from your account page. On cancellation or billing lapse, a 90-day grace period begins, during which you may request retrieval at standard rates or delivery on a physical drive at media and shipping cost. This export is not subject to the fair-use download expectation described in Section 3. After the grace period ends, your footage is permanently deleted. You expressly authorize this deletion; we have no obligation to retain footage beyond the grace period.
If footage must be preserved beyond the timelines in this Section — for litigation, an investigation, an audit, or a public-records matter — send a written legal hold notice to legal@repostproductions.com identifying the organization, the projects concerned, and the reason for the hold. A hold notice must come from an agent or an officer legally authorized to bind the organization. We will suspend deletion of the identified projects promptly, and in any event within two business days of receipt, and we will confirm the hold to you in writing at the same time. If you do not promptly receive that confirmation, contact us so that we can verify your notice reached us.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Reposit be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost profits, loss of data, loss of goodwill, business interruption, or procurement of substitute Services, arising out of or relating to this Agreement or the services, whether based on contract, tort (including negligence), strict liability, or any other theory, even if you have been advised of the possibility of such damages.
Except for our indemnification obligations expressly stated in this Agreement, Repost Productions LLC's total aggregate liability arising out of or relating to this Agreement, the Services, or any deliverables shall not exceed the total fees paid by you to us under this Agreement during the twelve (12) months immediately preceding the event giving rise to the claim.
You acknowledge that the services may involve creative, editorial, or strategic judgment, and agree that we shall not be liable for any decisions made by you or any reliance placed on the content, materials, or recommendations you provided.
The limitations and exclusions in this Section shall apply regardless of whether any remedy fails of its essential purpose. Nothing in this Section shall limit liability to the extent such limitation is prohibited under applicable federal, state, or local law, including laws governing government entities or nonprofit organizations.
8. Ownership and Rights
Reposit does not alter, determine, or convey ownership of any footage. Ownership and licensing of footage stored in Reposit are governed exclusively by the separate production agreement between you and Repost Productions (or, where applicable, between you and the creator who produced it), not by these terms. Nothing in these terms grants you copyright or other ownership rights beyond what that underlying agreement provides.
By storing footage in Reposit, you grant Repost Productions only the limited rights necessary to store, process, generate previews and proxies of, and deliver that footage back to you and your authorized users. You represent that you have the right to store the footage with us and that doing so violates no law or third-party right, and you will indemnify us against claims arising from your content or your use of the service, in each case to the fullest extent permitted by applicable law. If you are a government entity or other public body and applicable law limits or prohibits your ability to indemnify, this paragraph applies only to the extent that law permits, and the remainder of these terms remains in full effect.
9. Third-Party Infrastructure and Force Majeure
The service runs on third-party cloud providers, which we may change. Provider-level outages or maintenance are not a breach of these terms.
Neither party is liable for any failure or delay in performing its obligations, other than an obligation to pay an amount already due, caused by an event beyond its reasonable control. Such events include natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, labor action, action of a government or regulator, failure of the public internet or telecommunications networks, cyberattack, and the failure or outage of a third-party cloud provider. The affected party will notify the other as soon as practicable and will resume performance as soon as reasonably possible.
Storage fees are suspended for any event of this kind that prevents us from providing the service for more than seven consecutive days, and resume when service is restored. If such an event continues for more than 30 consecutive days, either party may cancel. Where an account is cancelled under this paragraph, the grace period in Section 6 does not begin until we have restored your ability to retrieve your footage. If we have not restored retrieval within 90 days of that cancellation, we will contact you to arrange delivery of your footage by other means, and no deletion will take place before that delivery has been offered.
10. Changes to These Terms
We may modify these Terms of Service from time to time. We will notify you of material changes, including changes to pricing, renewal terms, or service functionality, via email to the address associated with the account and by posting an in-service notice or banner. Unless otherwise required by law or written agreement, material changes will go into effect within thirty (30) days after notice is provided. Continued use of the Services after the effective date of the changes constitutes acceptance. If you do not agree to the changes, you may cancel the Subscription prior to the effective date.
For the avoidance of doubt, contractual notice requirements override general online-terms notice.
11. General
The Terms and any dispute, claim, or controversy arising out of or relating to the Terms, the services, or any media, data, or content stored or processed by Reposit shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.
The parties agree that any action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state courts of the Commonwealth of Virginia or the federal courts of the Eastern District of Virginia, and each party irrevocably submits to the personal jurisdiction and venue of such courts.
Each party waives any objection to venue or forum non conveniens. To the extent permitted by applicable law, the parties expressly waive the right to a jury trial in any action arising out of or relating to this Agreement.
Assignment. You may not assign these terms or your account without our written consent, which we will not unreasonably withhold. Our consent is not required where a government entity or other public body is reorganized, renamed, merged, or has its functions transferred by operation of law; in that case, tell us so that we can update your account records. We may assign these terms to a successor in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided that the successor assumes our obligations under these terms, including the storage, retrieval, and deletion commitments in Sections 3 and 6. We will give you at least 30 days' email notice before any such assignment takes effect, and you may cancel under Section 6 during that period.
Notices. Notices to you are given by email to the address on your account, and are deemed received on the day sent unless we receive a delivery failure. Keeping that address current and monitored is your responsibility. Notices to us must be sent to support@repostproductions.com, except legal hold notices, which must be sent to legal@repostproductions.com as described in Section 6, and are deemed received on the next business day. Either party may change its notice address by giving notice under this paragraph.
No waiver. A failure or delay in enforcing any provision of these terms is not a waiver of that provision, and a waiver on one occasion is not a waiver on any other.
Relationship of the parties. The parties are independent contractors. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship, and neither party may bind the other.
Export control. Reposit is not designed or offered as a compliant environment for export-controlled or classified material, and you may not store such material in it. You are responsible for ensuring that footage you store with us may lawfully be stored and transmitted under United States export control laws, including the Export Administration Regulations and the International Traffic in Arms Regulations. If you become aware that material subject to those controls has been uploaded to your account, tell us immediately at support@repostproductions.com so that it can be removed.
Attorneys' fees. In any action or proceeding to enforce or interpret these terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs from the other party, in each case to the fullest extent permitted by applicable law. If you are a government entity or other public body and applicable law limits or prohibits your ability to agree to this paragraph, it applies only to the extent that law permits, and the remainder of these terms remains in full effect.
Survival. The following survive termination or expiry of these terms: Section 5 (Disclaimer of Warranty), Section 7 (Limitation of Liability), Section 8 (Ownership and Rights), any legal hold in effect under Section 6, any payment obligation accrued before termination, any service credit accrued and requested under Section 12 before termination, and this Section 11.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder stays in effect.
Entire agreement. These terms together with your production agreement are the entire agreement between us; where they conflict, the signed production agreement controls.
12. Service Levels
What we commit to. We will make the Reposit platform available at least 99.5% of the time in each calendar month. Availability means that you are able to sign in, browse your library, stream preview copies, request a retrieval or activation, and download Active-tier footage. Downtime is measured in whole minutes from the time we detect an outage or you report one, whichever is earlier, until service is restored.
What is not counted as downtime. (a) The 72-hour retrieval window for Archive-tier footage described in Section 3, which is a characteristic of deep cold storage rather than an outage; (b) scheduled maintenance, provided we give you at least 48 hours' email notice and the total does not exceed eight hours in any calendar month; (c) any event of force majeure under Section 9, for which the remedies in that Section apply instead; (d) unavailability caused by your own network, equipment, or credentials; (e) suspension of your account for non-payment under Section 4; and (f) downloads restricted under Section 3 after we have contacted you about usage. An outage at one of our storage or infrastructure providers is counted as downtime unless it is an event of force majeure under Section 9.
Service credits. If we miss the commitment in a calendar month, you may request a credit against that month's storage fee: 10% where availability is below 99.5%, 25% where it is below 99%, and 50% where it is below 95%. Where your account is billed annually, the month's storage fee means one twelfth of your annual charge. Credits in any month will not exceed that month's storage fee. Request the credit by email to support@repostproductions.com within 30 days of the end of the affected month, and we will apply it to your next invoice, or refund it if your account has closed.
Sole remedy. Service credits are your sole and exclusive remedy, and our entire liability, for any failure to meet the commitment in this Section. Nothing in this Section increases the limitation of liability in Section 7.
Changes. We may change this Section on 30 days' email notice, on the same basis as a rate change under Section 3. We will not reduce the commitment below 99.5% during a period you have already paid for.
